Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms, and your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. If you disagree with any part of the Terms, you may not access the Service.
User Accounts
- When creating a publisher account with us (Affiliate, Influencer, Network) , it is essential to provide accurate, complete, and up-to-date information. Failure to do so will be considered a breach of the Terms, potentially resulting in immediate termination of your account.
- Safeguarding the password you use to access the Service is your responsibility. Any activities or actions carried out using your password, whether through our Service or a third-party service, are your sole responsibility.
- You must not disclose your password to any third party. Should you become aware of any security breach or unauthorized use of your account, please notify us immediately.
- Sinning up confirms that you are above the age of 18 at the day of registration.
Tracking & Attribution
- Amplify provides trackers in the form of links & Codes for affiliates to use thus we can provide proper allocation of your results.
- Affiliates must test & use the correct shared codes or links for their affiliate efforts and report any technical issues in their trackers. before promotions
- Amplify has all the rights to cancel any attributed results that were found later after payments and remove them from future payments in the case of in-acceptable activities.
Payment Terms
The details mentioned below will be subject to change for some clients, hence Amplify will report and pay on the behalf of timely clients only and any delays will be reflected separately for late clients in following validations or payment cycles to maintain frequent and timely payments without hindrance from late clients.
- The publisher gets an updated invoice on Amplify’s dashboard (validation report) at net 30 days after the end of each month for majority of campaigns.
- Validations are net results after adjusting and removing for any refunds/reversals/adjustments/cancelations in results and their payouts/commissions based on the client’s reports.
- All Invoices shall be paid within net 30 – 45 days from the date of receipt of the final invoice/validation on the platform hence our total payment cycle for each month will be net 60-75 days from the month’s end, for example May’s validation will be ready on 30th of June and May’s payment will be transferred between 30th of July – 15th of August for the majority of clients and all late payments or validation will be reflected later.
- Publisher must provide correct bank details 10 days max on our platform only, prior to our payment cycle start, any delays, or mistakes in the provided data from the publisher might result in delayed payments or transfer mistakes from banks or other payment options.
- Amplify follows the international banking systems exchange rates for currencies only regardless of any black-market rates.
- Payments in EGP currency must be Above 100 EGP and Payments in USD must be above 100 USD.
- All taxation or transfer costs related to the publisher’s payment are obligated on the publisher not Amplify.
- In Some cases, the publisher might be asked to deliver an invoice before receiving the payment from Amplify.
- Amplify has all the right to apply any bonuses/deductions/adjustments/cancelations for past or future payments to encourage top performers or penalize any past fraudulent or improper actions from the publishers or to balance client’s validation adjustments or miscalculations.
Publisher Obligations
- Maintain and operate their own media (websites, social, etc.), provide privacy, terms and conditions to users.
- Ensure materials posted on media are legal and do not infringe upon the rights of third parties.
- Promote Amplify’s Partner Brands’ links / Tags / codes in various ways on all social & web assets.
- Testing your codes & links frequently and reporting any issues to us.
- Share ideas and feedback with us about Amplify’s platform, brands, the market, and anything you see might make this partnership impactful for you, us as well as your followers and of course our esteemed partners.
- Avoid using any manual sheets, scripts, bots, emulator, trojan or specialized fraudulent programs or illegal, or unethical traffic sources as well as avoiding auto-initiation of views or visits to drive fake traffic / clicks / orders / installs / Impressions to Amplify’s partner brands’ sites as all results must only be a user-initiated action.
- Avoid any click baiting, misleading or wrong information about products or offers or any types of improper textual, visual, or auditory content like pornographic, profanity, harassing, violence or harmful content or any content whether that’s illegal, objectionable, defamatory, obscene, or that promotes discrimination.
- Avoid making any false representations or making any pages or messages that claim to be Amplify or using its name or any of its partner brands’ names or imitate Amplify or its clients’ websites or social account.
- Avoid brand Bidding, changing Amplify or it’s partners’ logos or spamming or sharing your codes in client’s social comments or accounts or ads.
- Publisher acknowledges that failing to commit to previous points then Amplify has the right to pause the codes/links that are found improper or fraudulent and has the full right to terminate this partnership, suspend or cancel payments as well as blacklist from future collaborations.
- The publisher agrees that the only methodology for tracking his/her numbers and payments is only Amplify’s Dashboard that’s found at that web link Amplify (amplifygrowth.net) and no other sheets or other systems.
Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the united states laws.
- Any dispute, difference, controversy, or claim arising out of or in connection with these Terms, including its existence, validity, interpretation, performance, discharge, and applicable remedies, shall be subject to the exclusive jurisdiction of the courts. And Amplify has the right to disclose the data with legal entities in case of the need of legal actions.
Termination
- The agreement starts upon account approval, signage of contract and can be terminated by either party upon giving a written one month’s notice by either side while both parties have the right for immediate termination by giving a notice in the case of breaching any of the provisions of this agreement and given a 10-day deadline for objection to be approved or rejected by the affected party and Amplify have all the rights to keep the remaining past and future payouts generated from the publisher and reassign his/her codes and links to other publishers.
- Terminated Affiliates must remove all Amplify Links/codes upon termination and must cease representing themselves as Amplify Publishers after termination.
Modifications to the Terms
- We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will make reasonable efforts to provide at least 30 days’ notice before any material changes take effect.
- By continuing to access or use the Service after the revised Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the new Terms, please discontinue using the Service.
Limitation of Liability:
Amplify will not be responsible for any issues related to any kind of technical issues or loss of data, devices damage or loss of business opportunities. The maximum liability of Amplify, its shareholders, officers, directors, and publishers will be limited to the commissions paid to the Publisher in the six months preceding the claim.
Relationship with Publishers:
Both parties in this Agreement are independent contractors and not partners, joint ventures, associates, or employer-employee relationships.
Indemnification:
The Publisher agrees to protect, defend, and hold Amplify, its clients, subsidiaries, affiliates, partners, licensors, shareholders, directors, officers, employees, owners, and agents harmless against any claims, liabilities, losses, damages, costs, and expenses (including attorneys’ fees) arising from breaches of this Agreement, misuse of links or intellectual property, or claims related to the Publisher’s media, products, or services, except for the links themselves.
